Welcome to YRS MIDI Systems (“Company,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of https://store.yrsmidi.com (the “Site”) and apply to every purchase or download you make through the Site. By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

1. Eligibility

You must be 18 years of age or older (or the age of majority in your jurisdiction) to purchase from the Site. By ordering, you represent and warrant that you meet this requirement.

2. Account Registration

You may check out as a guest or create an account. If you create an account, you are responsible for:

• keeping your password secure;
• all activities that occur under your credentials;
• promptly notifying us of any unauthorized use.

3. Products & Orders

1. Descriptions & Availability – We strive for accuracy, but typographical or factual errors may occur. We may correct any errors or update information at any time without prior notice.
2. Order Acceptance – Your order is an offer to purchase; we reserve the right to refuse, limit, or cancel any order (e.g., suspected fraud, inventory error). We will promptly refund any payment for a canceled order.

4. Pricing & Payments

• Currency – Prices are listed in U.S. dollars unless otherwise stated.
• Accepted Methods – Major credit/debit cards and PayPal (additions or removals will be shown at checkout).
• Taxes – U.S. sales taxes are collected where required. International customers are responsible for any VAT, GST, or import duties (see §6.4).

All payments are processed by secure third-party providers; we do not store full card information.

5. Shipping & Delivery of Physical Products

*Transit times are estimates from the ship date and exclude customs delays.

5.1 Processing Times

Orders placed Mon–Fri before 12 p.m. ET usually ship the same business day; otherwise the next business day.

5.2 Tracking

A tracking link is emailed once your package departs and is also available under My Account → Orders.

5.3 Risk of Loss

Title and risk of loss pass to you when we hand the shipment to the carrier.

5.4 Customs, Duties & Taxes (International)

Import charges levied by your country are your responsibility and are not included at checkout. Refused shipments due to unpaid duties are ineligible for refunds (§7).

6. Delivery of Digital Products

• Method & Timing – Immediately after successful payment, a download link and any license key are emailed to the address used at checkout.
• License Dashboard – Your license keys and downloads are permanently stored under My Account → Downloads / Licenses.
• Email Issues – If you do not receive the email within a few minutes, check spam/junk folders, confirm the address on your order, then contact support if necessary.

7. Returns & Refunds

7.1 Software / Digital Goods

All sales are final. No returns or refunds are accepted for software, sample libraries, plug-ins, or any digital products once delivered or download access has been granted.

7.2 Physical Goods

We accept returns only if an item arrives damaged in transit.

1. Notify contact@yrsmidi.com within 7 days of delivery.
2. Include order number, photos of the damage, and original packaging.
3. Upon approval we will either (i) send a replacement at no additional cost or (ii) issue a full refund to the original payment method.

We do not accept returns for:

• customer ordering the wrong product;
• change of mind or subjective dissatisfaction;
• items returned without prior authorization.

8. Intellectual-Property Rights

All content on the Site—text, graphics, logos, audio samples, and software—is owned by or licensed to YRS MIDI Systems and protected by law. You may not copy, modify, distribute, or create derivative works without our express written consent.

9. Prohibited Conduct

You agree not to:

1. use the Site for any unlawful purpose;
2. infringe any intellectual-property or privacy rights;
3. transmit malware, spam, or other harmful code;
4. interfere with or disrupt the Site’s security or functionality.

10. Disclaimer of Warranties

Except as expressly stated, the Site and all products are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, YRS MIDI Systems shall not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or products, even if advised of such damages. Our aggregate liability shall not exceed the amount you paid us for the product giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless YRS MIDI Systems, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or misuse of the Site.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules. You consent to the exclusive jurisdiction of the state and federal courts located in New York County, NY for any dispute arising under these Terms.

(If you later prefer binding arbitration or another venue, have the clause reviewed and updated by counsel.)

14. Modifications to Terms

We may change these Terms at any time by posting an updated version on this page and updating the “Last Updated” date. Your continued use of the Site after such changes constitutes acceptance of the revised Terms.
